These Terms of Use ("Terms") govern your access to and use of FillUply (the "Service"), operated by SomexAI Applications Group, LLC ("we", "us"). By creating an account or using the Service, you agree to these Terms.
1. The service
FillUply lets you create online forms, publish them via a shareable link, and collect responses. Features and plan limits may change over time.
2. Accounts
You are responsible for your account credentials and all activity under your account. You must provide accurate information and be at least the age of majority in your jurisdiction. Workspace owners are responsible for the members they invite.
3. Acceptable use
You agree not to use the Service to collect data unlawfully, send spam, infringe others' rights, distribute malware, or build forms that are deceptive, harmful, or violate applicable law. We may suspend or remove forms or accounts that violate these Terms.
4. Your content and form responses
You retain ownership of the forms you create and the responses you collect ("Your Content"). You are the controller of any personal data your respondents submit and are responsible for having a lawful basis to collect it and for your own privacy disclosures to respondents. You grant us a limited license to host and process Your Content solely to operate the Service.
5. Plans, billing, and uploads
Paid plans are billed through our payment processor (Stripe). Seat counts, file-upload allowances, and storage limits depend on your plan. Fees are non-refundable except where required by law. You can cancel anytime; access continues until the end of the paid period.
6. Intellectual property
The Service, including its software, design, and trademarks, belongs to us and our licensors. These Terms do not grant you any rights to our branding except as needed to use the Service.
7. Disclaimers
The Service is provided "as is" without warranties of any kind. We do not guarantee that it will be uninterrupted, error-free, or secure, or that data will never be lost.
8. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, or consequential damages, or for loss of data, revenue, or profits. Our total liability is limited to the amount you paid us in the 12 months before the claim.
9. Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or to comply with law. Upon termination, we may delete Your Content after a reasonable period.
10. Changes
We may update these Terms from time to time. Material changes will be reflected by updating the date above; continued use after changes means you accept them.
11. Governing law
These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules.
